Terms of Service

These Terms of Service govern access to and use of the Promax platform. They are intended to clearly explain how the platform works, what it does and does not do, and how responsibility is allocated between users and Promax Freight and Promax Technologies. Certain sections include plain-language explanations provided for clarity and convenience; in the event of any inconsistency, the formal terms control.

1. Company Identity

This service is provided by Promax Technologies LLC, a Kansas-formed company. Promax Freight is powered by Promax Technologies. For legal notices or inquiries, you may contact us at promax@promaxfreight.com. The platform is a software product only and does not operate as a freight broker, carrier, or transportation intermediary.

1.1 Definitions:

• "Customer-Identifying Information" means any information that directly identifies a specific customer, including but not limited to customer names, contact information (phone, email, address), company names, business identification numbers, customer service history, pricing agreements, or any other data that reasonably could be used to identify or contact a specific customer or entity.
• "Aggregated Information" means data that has been combined, anonymized, or generalized so that it no longer identifies any specific customer or user, including statistical analyses, usage trends, load volume patterns, feature utilization rates, performance metrics, historical lane data (origin-destination pairs, pricing ranges, and frequency patterns stripped of Customer-Identifying Information), and any other data derived from platform use that cannot reasonably identify a specific customer or entity.
• "Platform Data" means all information, data, content, and materials entered into, generated through, or derived from the platform, including load information, customer data, system logs, and any other information created or processed by the platform.
• "Third-Party Services" means external platforms, load boards, software systems, or services that the platform may integrate with, interface with, or export data to, including but not limited to DAT, TruckStop, and other freight load boards or transportation marketplaces.
• "Acceptable Use" means use of the platform consistent with the terms and conditions set forth in Section 10, including lawful, non-fraudulent, and authorized purposes only.

2. Service Description

The platform provides software-based tools for load data formatting, parsing, and export. Promax Technologies does not post loads on behalf of users unless explicitly stated in writing and does not guarantee the accuracy, acceptance, or results of any load postings on third-party load boards. The platform is independent software and is not affiliated with, operated by, or a substitute for DAT, TruckStop, or any other load board or program.

3. User Eligibility and Authority

Users must be at least 18 years old and authorized to post freight or manage load data on behalf of themselves or the entity they represent. By using the platform, users represent and warrant that they have full authority to post the loads they submit and to share all data entered into the system. Impersonation, misrepresentation of authority, or any unauthorized use of the platform is strictly prohibited.

4. Account Responsibility

Users are responsible for maintaining the confidentiality of their login credentials and for all activity that occurs under their account. Promax Technologies is not responsible for any unauthorized access, use, or activity resulting from a user's failure to secure or protect their account credentials.

5. Platform Data Ownership

All information, including customer-identifying information, entered into or generated through the platform is the property of Promax Freight and Promax Technologies and is used for the operation, development, improvement, and advancement of the software. User access to the platform does not create any ownership rights in data entered into or generated through the system, and such information is considered part of the platform and its underlying systems. Ownership of platform data does not grant Promax Freight or Promax Technologies authority to control, direct, interfere with, or assume any user's customer relationships, pricing decisions, or business operations, and Promax Freight does not use platform data to advantage its own brokerage operations or to compete with users. In the event the software or platform is sold, transferred, or acquired, customer-identifying information will be excluded from the sale, while all non-identifying data, system data, and aggregated information may be transferred as part of the software assets.

6. AI and Automation Limitations

The platform may use automated tools, including artificial intelligence, to extract, parse, format, or process information on behalf of the user. These tools may misread text, omit details, or misinterpret handwriting, images, or source documents. All outputs generated by the system are provided for convenience only, and users are solely responsible for reviewing, verifying, and approving all information before posting, submitting, or relying on it. Promax Freight and Promax Technologies are not responsible for errors, omissions, inaccuracies, or outcomes resulting from automated processing, and the use of AI or automation does not replace human review or verification.

7. Usage Analytics and Session Monitoring

The platform uses analytics and session monitoring tools to observe and analyze how users interact with the software, including navigation paths, mouse movements, clicks, scrolling behavior, and feature usage, for the purposes of improving usability, performance, functionality, reliability, and security. The specific analytics and monitoring tools used may change at any time at Promax Freight and Promax Technologies' discretion. These tools do not record passwords, authentication credentials, or intentionally capture sensitive input fields. By accessing or using the platform, users acknowledge and consent to the collection and use of such interaction data as part of the operation and improvement of the platform.

8. Third-Party Services Disclaimer

The platform may interact with, integrate with, or export data to third-party systems, services, or load boards. Promax Freight and Promax Technologies do not own, operate, or control any third-party platforms and are not responsible for their availability, formatting requirements, posting limits, acceptance or rejection of data, outages, errors, or changes to their systems or rules. Any use of third-party services is subject to the terms and conditions of those providers, and users assume all risk associated with reliance on third-party platforms.

9. Fees, Billing, and Changes

The platform is currently offered at no charge during its beta period. Subscription pricing, billing cycles, and available features will be determined by the subscription tier selected by the user once paid plans are introduced. Promax Freight and Promax Technologies reserve the right to modify pricing, subscription tiers, billing terms, or feature availability at any time, provided that users will receive at least 30 days' notice prior to any pricing changes that affect active subscriptions. There is no guarantee that any specific feature will remain available at any pricing tier. All applicable taxes, fees, or governmental charges related to use of the platform are the responsibility of the user.

10. Acceptable Use

Users may not use the platform for any unlawful, fraudulent, or unauthorized purpose, including uploading or submitting content they do not have the legal right to use or share. Users may not attempt to reverse engineer, copy, scrape, interfere with, or abuse the platform or its underlying systems, nor engage in excessive or abusive usage that degrades performance or disrupts service for others. Promax Freight and Promax Technologies reserve the right to restrict, suspend, or terminate access for violations of this section or for activity that threatens the security, integrity, or reliability of the platform.

11. Intellectual Property and Use Restrictions

The platform, including its software, workflows, structure, logic, design, interfaces, and underlying technology, is the exclusive property of Promax Freight and Promax Technologies and is protected by applicable intellectual property laws. Users are granted a limited, non-exclusive, non-transferable right to access and use the platform solely for its intended business purpose. Users may not copy, reproduce, modify, reverse engineer, decompile, disassemble, scrape, extract, or attempt to derive the source code, system logic, workflows, or data models of the platform, nor use the platform or its outputs to develop, train, or support a competing product or service.

12. Service Availability and Changes

The platform is provided on an "as-is" and "as-available" basis, and Promax Freight and Promax Technologies make no guarantees regarding uptime, availability, or uninterrupted access. Features, functionality, and performance may change, be added, modified, or removed at any time, and beta features may be unstable, incomplete, or subject to errors. Use of the platform during beta or ongoing development is at the user's own risk.

13. Limitation of Liability

To the fullest extent permitted by law, Promax Freight and Promax Technologies shall not be liable for any indirect, incidental, consequential, special, or economic damages, including but not limited to lost profits, lost loads, missed bookings, business interruption, or downstream business losses, even if advised of the possibility of such damages. In no event shall the total liability of Promax Freight or Promax Technologies arising out of or related to the platform exceed the amounts paid by the user to access the platform during the sixty (60) days immediately preceding the event giving rise to the claim.

14. Indemnification

Users agree to defend, indemnify, and hold harmless Promax Freight and Promax Technologies, including their owners, officers, employees, and affiliates, from and against any claims, demands, damages, losses, liabilities, costs, or expenses, including reasonable attorneys' fees, arising out of or related to the user's use of the platform, the data or content submitted through the platform, any postings or actions taken by the user, any violation of applicable laws or regulations, or any claims brought by third parties based on the user's conduct or information.

15. Termination

Promax Freight and Promax Technologies may suspend or terminate a user's access to the platform at any time for violations of these terms, abusive or harmful use, security concerns, or nonpayment of applicable fees. Users may cancel their account at any time, subject to any applicable billing terms. Upon termination or cancellation, access to the platform may be discontinued, and no refunds will be issued except as required by law.

16. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or related to the platform or these Terms shall be brought exclusively in the state or federal courts located within the State of Kansas, and the parties consent to such jurisdiction and venue.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law or, if not enforceable, severed from these Terms, and the remaining provisions shall remain in full force and effect.

18. Changes to Terms

Promax Freight and Promax Technologies may update or modify these Terms from time to time. Changes will become effective upon posting or as otherwise stated. Continued use of the platform after any changes take effect constitutes acceptance of the updated Terms.

19. Acceptance of Terms

By accessing, registering for, or using the platform in any manner, including by clicking "I Agree," creating an account, or continuing to use the service after the Terms are made available, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, you may not access or use the platform.
